Our securities practice covers capital markets transactions and securities regulatory issues. We provide structuring, timing and tax planning advice in connection with initial equity and debt offerings, private placements and other exempt offerings, equity and debt exchanges, transactions in sovereign and non-sovereign bonds and commercial paper, and other market activity. We advice our clients on offering regulations and procedures, including disclosure and publicity, prospectus drafting, negotiation of transaction documents and regulatory matters.
In addition to assisting financial institutions from time to time in connection with a broad range of financial transactions, the firm provides regulatory advice to domestic and foreign financial institutions, broker-dealers and traders on securities and banking transactions.
Foreign exchange regulations
In an environment of increased regulatory focus, our Banking & Finance practice provides practical, commercial and strategic advice to both corporate clients and financial institutions on compliance with Central Bank regulations.
We also advice clients on regulatory matters, particularly in connection with foreign debt repayments, payment of royalties and services abroad, and other foreign exchange transactions.
In addition, lawyers in our Banking & Finance practice represent clients on Central Bank investigations and related regulatory procedures.
