Mitrani, Caballero & Ruiz Moreno regularly advises Brazilian clients, including, among others, large energy, engineering, and construction companies, in connection with investment projects and acquisition transactions in Argentina as well as on day-to-day matters pertaining to their Argentine branches, subsidiaries and business activities. Highlights for these clients include:

  • Advising Raízen’s USD 916 million acquisition of Shell’s oil refining, fuel distribution and other downstream businesses in Argentina in 2018; and
  • Representing Brenntag Brazil in its 2014 acquisition of GAFOR’s chemical business in Argentina.
  • Advising Alusa Engenharia and Schahin Engenharia in their bids for energy projects in Argentina, as well as on certain debt restructuring efforts and day-to-day business activities in Argentina.
  • Our firm prides itself of being able to provide high-quality transnational services acting as lead international deal counsel on our clients’ ventures outside of Argentina, and very recently we were entrusted that very role by Raízen in connection with its USD 130 million acquisition of a 50% interest in Paraguayan leading fuel distributor Barcos y Rodados S.A.

Moreover, Mitrani, Caballero & Ruiz Moreno has a significant track record of on-the-ground experience in complex transactions and litigation in Brazil, acting as lead international counsel for its long-time clients Tenaris and Ternium. Through this work, we have cultivated deep and extensive relations with the premier Brazilian law firms and lawyers. Highlights of our on-the-ground work in Brazil include:

  • Advising Ternium in its 2018 agreement with Nippon Steel relating to the governance of Brazil’s largest steel producer Usiminas. We had previously advised Ternium in the 4-year shareholder conflict between Ternium and Nippon Steel that preceded such 2018 agreement, in its 2012 USD 2.7 billion acquisition of a co-controlling stake in Usiminas, a 2014 acquisition of additional Usiminas shares from Brazil’s largest pension fund PREVI, and the 2016 subscription of an Usiminas capital increase.
  • Advising Ternium in its 2017 acquisition of Brazilian steel producer CSA Siderúrgica do Atlântico Ltda., as well as in connection with a long-term agreement to supply slabs from CSA’s facility in Brazil to ArcelorMittal’s Calvert re-rolling facility in Alabama, United States.
  • Assisting Tenaris in connection with its 2012 USD 758.5 million delisting tender offer for Brazilian steel manufacturer Confab.
